What is the Role of a Company Secretary in Malaysia

In Malaysia, the appointment of a licensed company secretary is compulsory for every Sendirian Berhad (Sdn. Bhd.) company. Under the Companies Act 2016, the company must appoint at least one qualified company secretary within 30 days of incorporation.

Importantly, a company is not permitted to leave the position vacant for more than 30 days at any time. Failure to comply with this requirement may result in penalties and non-compliance issues with the Companies Commission of Malaysia (SSM).

Scope of the Company Secretary’s role includes:

  • Preparation of directors’ and shareholders’ resolutions
  • Submission of statutory documents to SSM
  • Updating your company’s official information (e.g., business nature, registered office address, details of directors and shareholders)
  • Acting as the legal officer to certify statutory documents and personal identification documents
  • Providing guidance to ensure compliance with the Companies Act 2016 and other relevant regulations
